Sale readiness advisory

Know what your business is worth before a buyer tells you.

Private equity firms and strategic acquirers are calling smaller companies more than ever. Most owners take that call without a banker, a valuation, or a plan. Collier Business Consultants gives you the preparation an investment bank would, sized for a business the banks don't cover.

The gap

Buyers show up prepared. Owners usually don't.

Lower middle market investment banks typically won't engage below a certain deal size. Business brokers list the company and wait. Neither tells you what a sophisticated buyer actually sees when they look at your numbers.

1

You get an inbound offer

A buyer or their banker reaches out. They have a model, a thesis, and a target price. You have a gut feeling about what the business is worth.

2

The diligence starts

They ask for add-backs, customer concentration, working capital normalization, and a quality of earnings. Every surprise lowers the price.

3

You negotiate alone

Without an independent view of value and a sense of what's standard, it's hard to know which terms to push on and which to accept.

About

Buy-side experience, applied to your side of the table

Collier Business Consultants is run by Frank Collier, who spent his career evaluating acquisitions for institutional investors: first in investment banking at Citi, then as an associate at Antin Infrastructure Partners, a global private equity firm.

That work meant building the models, running the diligence, and deciding what a business was really worth. Now it goes toward helping owners understand the same analysis before they sit across from someone running it on them.

The firm works with owner-operated companies across industries, with a particular focus on services, restaurants and hospitality, industrial and manufacturing, and healthcare services.

Fit

Is this for you?

A good fit

  • Owner-operated business with roughly $1M to $10M in annual profit
  • You've been approached, or expect to be, in the next few years
  • You want a second opinion before signing an LOI
  • You'd rather fix problems now than discount for them later

Probably not

  • You need someone to run a full auction process (we'll refer you to a bank)
  • You're looking for a broker to list the business
  • The sale closes in the next 30 days
